vBrief Demo - Terms of Use

These Terms of Use (“Terms”) apply to your access to and use of the vBrief interactive demo (the “Demo”) provided by vBrief Ltd (“vBrief”, “we”, “us”).

The Demo is separate from:

  • our main website at vbrief.ai; and

  • any paid, trial or early-access licence for the full vBrief platform, which are governed by separate agreements.

2. Acceptance of these Terms

By accessing or using the Demo in any way, you agree to be bound by these Terms.

If you do not agree, you must not use the Demo.

3. Purpose of the Demo

The Demo is provided solely for evaluation by prospective business customers and their teams in order to:

  • understand how vBrief works; and

  • assess whether it may be suitable for use in their organisation.

The Demo is not intended for use with live projects, client deliverables, regulatory submissions or any use where errors or downtime could cause loss or harm.

4. Demo licence

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Demo:

  • internally within your organisation;

  • for the sole purpose of evaluating vBrief; and

  • during the period we make the Demo available to you.

We may suspend, withdraw or modify the Demo at any time without notice.

5. Restrictions – including AI/model-training restrictions

You must not:

  1. Use the Demo in production or for any live client, regulatory or legal matter.

  2. Upload, input or paste into the Demo any of the following (except in anonymised test form):

    • personal data about identifiable individuals;

    • confidential or commercially sensitive information belonging to you or any third party; or

    • information subject to professional secrecy or regulatory restrictions.

  3. Use the Demo or any outputs from it to:

    • develop, train or improve any machine-learning models, large language models, or AI systems;

    • create or improve products or services that compete with vBrief or provide substantially similar functionality;

    • benchmark or publish performance comparisons against other products, except for internal evaluation within your organisation.

  4. Copy, modify, adapt, translate or create derivative works based on the Demo, except as necessary for normal use.

  5. Reverse-engineer, decompile or disassemble any part of the Demo, except to the limited extent that applicable law expressly permits despite this restriction.

  6. Access the Demo by automated means (such as bots, scripts or scraping tools) other than for basic internal QA or security testing.

  7. Attempt to bypass any technical or access controls, or interfere with the security or integrity of the Demo.

If you work for, or on behalf of, a vendor of AI systems or competing software, you may only access the Demo under a separate written agreement with us that expressly permits this.

6. Intellectual property

All intellectual property rights in the Demo, including the software, user interface, documentation, demo data and branding, are owned by or licensed to vBrief.

Except for the limited evaluation licence in clause 4, these Terms do not grant you any rights in our intellectual property. You must not remove or alter any copyright or trade-mark notices.

7. No professional advice

The Demo and any AI-generated or other outputs are provided for illustration only. They:

  • do not constitute architectural, engineering, legal, insurance or other professional advice; and

  • should not be relied on as the basis for real-world decisions without appropriate professional review.

8. Data and privacy in the Demo

Our handling of personal data in connection with the Demo is described in the vBrief Demo - Privacy & Local Storage Notice, which forms part of these Terms.

You agree not to input personal data or confidential project information into the Demo, and you acknowledge that if you do so contrary to these Terms, you are responsible for ensuring that such use complies with your own legal and contractual obligations.

9. Availability and changes

The Demo is provided on a temporary and experimental basis. We do not guarantee that it will be:

  • available at any particular time;

  • error-free or bug-free; or

  • compatible with every device or browser.

We may change, suspend or discontinue all or any part of the Demo at any time.

10. Disclaimers

To the maximum extent permitted by law:

  • the Demo is provided “as is” and “as available”;

  • we exclude all implied warranties, conditions and representations, including those relating to quality, fitness for a particular purpose, and non-infringement; and

  • we do not warrant that the Demo or its outputs are accurate, complete, or suitable for any particular purpose.

11. Liability

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • any other liability that cannot be limited or excluded under applicable law.

Subject to this, we will not be liable for:

  • loss of profit, revenue or business;

  • loss of data or corruption of data;

  • loss of goodwill or reputation; or

  • any indirect, consequential or special loss,

    arising out of or in connection with your use of (or inability to use) the Demo.

Our total aggregate liability to you for all claims arising out of or in connection with the Demo is limited to £250.

12. Indemnity

You agree to indemnify us against any claims, losses, damages, costs and expenses (including reasonable legal fees) arising from:

  • your breach of these Terms; or

  • your use of the Demo with personal data or confidential information in breach of clause 5.2.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top will show when they were last revised.

If we make material changes, we will take reasonable steps to bring them to your attention (for example, via a notice on the mock login screen). Your continued use of the Demo after any changes means you accept the updated Terms.

14. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or the Demo, are governed by the law of England and Wales.

The courts of England and Wales will have exclusive jurisdiction.
